Terms of Service

These Terms of Service ("Terms") govern your access to and use of QuarterSuite.com and the connected QuarterSuite products (collectively, the "Platform") operated by Bonita Payments, LLC ("Bonita Payments," "we," "us"). By creating an account, accessing the Platform, or using any product, you agree to these Terms. If you do not agree, do not use the Platform.

You must be at least 18 years old and authorized to bind the business you represent. By using the Platform on behalf of a business, you represent that you have authority to bind it to these Terms.

One QuarterSuite account gives you access to every product you are entitled to use. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized access. Bonita Payments may suspend or terminate accounts that violate these Terms, present security or compliance risk, or are inactive for an extended period.

Payment processing, merchant boarding, capital products, and related services are governed by additional agreements between the merchant, Bonita Payments, our processing partners (including Fiserv and TekCard), and the acquiring bank. Card-network rules (Visa, Mastercard, Discover, American Express) apply in all cases and control where there is a conflict with these Terms with respect to processing activity.

Use of QuarterSuite products may be subject to fees set out in your order form, merchant agreement, partner agreement, or in-product pricing. Fees are payable in U.S. dollars and are non-refundable except as required by law or expressly stated.

The Platform, including its software, design, content, and QuarterSuite, QuarterMaster, QuarterCapital, QuarterDeck, QuarterPointe, QuarterSupply, QuarterKey, and Bonita Payments marks, is owned by Bonita Payments and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms. You retain rights to your own data and content; you grant us a license to host, process, and display it solely to operate the Platform and provide services to you.

QuarterSuite integrates with third-party services (including payment processors, identity providers, and analytics providers). Your use of those services is subject to the third party's own terms. We are not responsible for third-party services.

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or fully secure.

To the maximum extent permitted by law, Bonita Payments and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform. Our aggregate liability for any claim arising from these Terms or your use of the Platform will not exceed the greater of (a) the amount you paid to us for the Platform in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). These limits do not apply to liability that cannot be limited under applicable law.

You agree to indemnify and hold Bonita Payments harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Platform, your violation of these Terms, your violation of law, or your infringement of the rights of any third party.

You may stop using the Platform at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Platform, our merchants, or other users. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Orleans Parish, Louisiana, and you consent to personal jurisdiction there.

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date and, where appropriate, communicated by email. Continued use of the Platform after a change means you accept the updated Terms.
